Terms of Service

Our terms and conditions

These Terms of Service (“Terms”) govern your access to and use of the SoldByReels website at soldbyreels.com and any related products and services (collectively, the “Service”). The Service is operated by Christians Thrive Trust, a Wyoming-based trust, doing business as SoldByReels (“SoldByReels,” “we,” “us,” or “our”).

By creating an account, clicking “I agree” (or similar), or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to form a contract. If you are using the Service on behalf of an organisation (such as a brokerage), you represent that you have authority to bind that organisation, and “you” includes that organisation.

2. Accounts

  • You must provide accurate information when registering and keep it up to date.
  • You are responsible for safeguarding your credentials and for everything that happens on your account.
  • Notify us at hi@soldbyreels.com if you suspect unauthorised use.
  • Team accounts: an “owner” can invite, manage, and remove members. The owner is responsible for member activity.

3. The Service

SoldByReels produces cinematic listing videos, social-media carousels, pitch previews, and related marketing assets (“Outputs”) for real-estate professionals using inputs you provide (“Inputs”) — typically listing photos, addresses, descriptions, and audio. Standard delivery is targeted within 24 hours of order receipt; specific turnaround times depend on your subscription tier and current load and are not guaranteed.

We may add, change, or remove features at any time. We will give reasonable notice before making materially adverse changes to a paid feature.

4. Subscriptions, fees, and refunds

  • Subscription plans, prices, included render counts, and renewal cadence are described on our pricing page. Prices are in U.S. Dollars unless stated otherwise and exclude taxes.
  • Subscriptions auto-renew at the end of each billing period until cancelled. You can cancel from the account dashboard; cancellation takes effect at the end of the current billing period.
  • Except where required by law, fees are non-refundable. We may issue refunds at our discretion.
  • We may change prices on prospective renewals with at least 30 days’ notice; the new price applies on your next renewal.
  • Late payment may result in suspension of the Service until the balance is brought current.
  • Payments are processed by Stripe; you also agree to Stripe’s terms when paying.

5. Licence to use the Service

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal real-estate marketing purposes during your subscription, subject to these Terms.

6. Your content; licence to us

6.1 Ownership

As between you and us, you retain all rights in the Inputs you upload. We do not claim ownership of your photos, addresses, descriptions, scripts, voice recordings, or other materials you provide.

6.2 Licence to us

You grant SoldByReels a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, modify, format-shift, and display your Inputs solely as needed to provide the Service to you (including by passing them to AI/rendering sub-processors), to keep backups, to enforce these Terms, and to comply with law. The licence ends when your Inputs are deleted from the Service, except for backups retained for the periods stated in our Privacy Policy.

6.3 Outputs

Subject to your payment of fees and continued compliance with these Terms, you own the Outputs we generate from your Inputs and may use them for any lawful real-estate marketing purpose, including paid advertising and social media. We retain rights only in the underlying templates, models, software, and any portion of an Output that is generic and not specific to your Inputs.

6.4 Promotional use

We may identify you as a customer (using your name, brokerage logo, and headline city) and may use de-identified screenshots of Outputs in marketing the Service. You can opt out of promotional use at any time by emailing hi@soldbyreels.com.

7. Your representations

You represent and warrant that, for every Input and listing you submit:

  • you have all rights, licences, consents, and permissions needed for us to host and process the Input and produce Outputs from it;
  • you have the right to market the relevant property under applicable MLS rules, brokerage agreements, and listing agreements;
  • the Input does not infringe any third party’s intellectual property, privacy, or publicity rights;
  • the Input is not unlawful, defamatory, harassing, deceptive, or otherwise prohibited under Section 8.

If a third party (including an MLS, brokerage, or rights holder) objects to a particular Input or Output, you agree to stop using it and to cooperate with us in resolving the issue.

8. Acceptable use

You agree not to:

  • upload content you do not have the right to upload, including content scraped from MLS feeds in violation of MLS rules;
  • impersonate another agent, brokerage, or property owner;
  • upload material that depicts or facilitates discrimination in housing on a protected basis (race, colour, religion, sex, familial status, national origin, disability, or any other category protected by the Fair Housing Act or applicable state law);
  • use the Service to make false statements about a property (square footage, school zone, title status, etc.);
  • attempt to reverse-engineer, decompile, or extract the underlying models, prompts, or software;
  • interfere with or disrupt the Service, probe for vulnerabilities, or exceed reasonable rate limits;
  • use the Service to build a competing product or to train another AI model;
  • resell, sublicense, or provide the Service to any third party without our written consent.

We may suspend or terminate accounts for breach of this Section.

9. AI-generated output

You acknowledge that Outputs are generated using machine-learning models. Models may produce artefacts, inaccuracies, or content that does not perfectly match an Input. You are responsible for reviewing every Output before publishing it and for confirming factual statements (price, square footage, features) match the listing of record. We provide tools to re-render and adjust Outputs; we do not warrant any specific aesthetic outcome.

10. Third-party services

The Service integrates with third parties including Stripe (payments), Supabase (database and authentication), Vercel (hosting), AI/rendering providers, email-delivery providers, and analytics providers. Their terms and privacy practices apply when you use their services through us.

11. Intellectual property

We and our licensors own all right, title, and interest in the Service, including the website, our software, models, templates, prompts, brand, and documentation. Nothing in these Terms transfers any of those rights to you, except the limited licence in Section 5.

12. Confidentiality

Each party will protect the other’s non-public business information disclosed under these Terms with at least the care it uses for its own confidential information of similar sensitivity, and will not use or disclose it except as needed to exercise rights and perform obligations under these Terms. This Section does not apply to information that is public, independently developed, or required to be disclosed by law (with reasonable notice where permitted).

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET ANY MLS, BROKERAGE, OR FAIR HOUSING REVIEW STANDARD. YOU ARE RESPONSIBLE FOR ENSURING YOUR USE OF THE SERVICE COMPLIES WITH APPLICABLE LAW, MLS RULES, AND BROKERAGE POLICIES.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).

The above limits apply to the fullest extent permitted by law. Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, in which case the relevant clauses apply only to the extent permitted.

15. Indemnification

You will defend, indemnify, and hold harmless SoldByReels, Christians Thrive Trust, and our trustees, employees, and agents from and against any third-party claims, demands, liabilities, damages, costs, and expenses (including reasonable lawyers’ fees) arising out of or related to: (a) your Inputs; (b) your use of the Outputs; (c) your breach of these Terms or applicable law; or (d) your violation of any third party’s rights, including MLS rules, brokerage agreements, or fair-housing laws.

16. Term and termination

These Terms apply from when you first use the Service until terminated. You may terminate at any time by closing your account. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or for legal or security reasons. On termination, the licences granted in Section 5 end. Sections that by their nature should survive (including 6.2 backups, 7, 11–17, and 18) survive termination.

17. Changes to these Terms

We may update these Terms. The “Last updated” date above will reflect the latest version. For material changes, we will give at least 14 days’ notice via email or in-product notice. If you continue to use the Service after the change takes effect, you accept the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you and we consent to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and we each waive any right to a jury trial. Any claim must be brought within one (1) year after the cause of action accrues, except where applicable law requires a longer period.

19. Miscellaneous

  • Entire agreement. These Terms, our Privacy Policy, and any order forms are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. A failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our written consent. We may assign to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
  • Independent contractors. Nothing in these Terms creates a partnership, agency, or employment relationship.
  • Notices. We may give notice by email to your account address or by in-product notice. You must give us notice in writing to hi@soldbyreels.com.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Export and sanctions. You may not use the Service in violation of U.S. export-control or sanctions laws, including by accessing it from a sanctioned country.
